Terms of service
These terms are the agreement between Endorser Limited ("Endorser") and the firm that subscribes to the Endorser platform ("Customer"). They are deliberately short. The intent is to be fair, clear, and predictable.
1. Service
Endorser provides a software-as-a-service platform for managing identity verification and related compliance workflow. The service is available at app.endorser.co.uk.
2. Subscription and fees
Subscription is monthly, on a 30-day rolling basis. Tier and verification overage rates are as published on endorser.co.uk/pricing. Fees are exclusive of VAT.
3. Use of the service
Customer agrees to use the service for the lawful purposes for which it is intended: identity verification of company directors, PSCs, and LLP members on behalf of corporate clients of the Customer firm. Customer is responsible for ensuring their use of the service complies with the Money Laundering Regulations and the ECCT Act 2023.
4. Data processing
Endorser processes verification-subject data as a processor under our Data Processing Agreement. Customer is the controller. The DPA forms part of these terms.
5. Availability
Endorser targets 99.9% monthly availability. Planned maintenance is announced at least 48 hours in advance. There is no SLA credit for outages on the standard plan; enterprise customers may negotiate one.
6. Termination
Either party may terminate the subscription on 30 days' notice. On termination, Customer's data is exported to Customer on request and retained for the regulatory minimum (five years) before deletion.
7. Liability
Endorser's aggregate liability under this agreement is capped at the total fees paid in the preceding 12 months. Endorser excludes liability for indirect, consequential, or special losses to the extent permitted by law. Nothing in these terms limits liability for fraud or for any liability that cannot be limited under English law.
8. Governing law
These terms are governed by English law. The English courts have exclusive jurisdiction.
